Position Summary

The Paralegal is experienced in managing, drafting, and coordinating general corporate and health care legal matters.  The incumbent will provide general corporate and health care legal coordination assistance to the organization, in compliance with the company’s policies and procedures, governmental laws, and relevant regulatory requirements. The Paralegal builds, protects and expands the organization’s competitive advantage and customer experience by intelligently managing risk and shaping strategies to drive business objectives with outside company and regulatory counsel.  The Paralegal will lead contract management and assist in managing all legal, regulatory, and business law matters with outside company counsel and ensure appropriate documentation, retention, and management of legal articles of the company.

Essential Functions

Business & Corporate Law

  • Lead, organize, and manage legal projects, including drafting, reviewing, revising, and negotiating documents and/or coordinating and managing such work when delegated to outside counsel.
  • Manage the legal department budget of the company.
  • Consult, structure, draft, and review all corporate legal processes and documents (e.g., business agreements, standard form agreements such as CDA/NDAs, employment agreements, vendor agreements, company compliances, HIPAA, Data safety, intellectual property, compliance issues, transactions, agreements, lawsuits, patents)
  • Manage business licensure and legal filings of various corporate entities to ensure state filing compliance with Secretary of State offices, annual filings, financial reporting to the states in which legal entity is registered, etc. Updating and maintain any applicable statutory registers.
  • Manage circulation and drafting of minutes of Board Meetings, audit committee reviews, or any other matter related to corporate governance with legal counsel.
  • Lead and manage legal due diligence for any company transactions of acquisitions or divestures. Lead integration of any acquired companies regarding all proper change-in-ownership fillings and notifications as required by law or contract.
  • Ability to conduct legal research and understanding of legal software (if applicable)

Pharmacy Practice Law

  • Oversee the management of documentation for compliance with operations and pharmacies to ensure compliance with licensure requirements, pharmacist-in-charge changes, DEA renewals, NPI/NCPDP assignments, OIG compliance checks, and other regulatory requirements are documented.
  • Manage and lead processing of all pharmacy licensure renewals, change of ownership and other licensures necessary to be filed with regulatory and third parties to ensure business continuity in the practice of pharmacy.
  • Review, draft and provide responses on third party pharmacy benefit manager audit responses.
  • Review, manage and oversee insurance contracting and credentialing with third parties, accrediting bodies, etc.
  • Under the guidance of the Compliance Department, create and continue to improve upon policies and procedures, processes, business structures and legal analyses as applicable to the legal services rendered.
  • Guide General Managers and pharmacists-in-charge of legal policies and procedures of the company to ensure compliance with rules and regulations.
  • Collaborate with various corporate departments including compliance, finance, procurement, pharmacy operations, clinical, sales and marketing, and human resources to resolve multi-faceted issues and create valuable working relationships.
  • If applicable, assist Litigation Counsel with potential and pre-litigation matters as applicable to subject matter expertise. Additional responsibilities may include, but are not limited to, performing related duties as may be required and assigned by the CEO or his/her designee.

  1. Bachelor’s Degree required. Masters or J.D. strongly preferred.

Experience & Required Skills

  • 4 – 6 years’ related experience as a practicing paralegal or as a legal assistant with knowledge in healthcare law working in the pharmaceutical industry (pharmacy, drug/device distribution experience is preferred).
  • Strong writing and drafting skills using business software including strong proficiency in Microsoft Office (i.e., Access, Excel, PowerPoint, and Word) and email applications.
  • Ability to work independently with minimal supervision.
  • Strong interpersonal skills with a strong commitment to customer service in client relations.
  • Excellent research, drafting, and written communication skills.
  • Strong ability in project management and database management and ability to systematically organize legal files and documents in compliance with Company policies and regulatory law.
  • Ability to apply sound business judgment within a legal context.
  • Excellent oral and written with a demonstrated ability to communicate and present complex information to all levels of management, employees, legal personnel, witnesses, and experts.
